(NYSE: MOT - News) announced today that it expects to file a Form 8-K with the Securities and Exchange Commission on Wednesday, December 8, 2004 in which it will provide historical unaudited pro forma consolidated financial statements reflecting the completion of the separation of Freescale Semiconductor, Inc. (NYSE: FSL - News) from Motorola, Inc. Motorola distributed its remaining equity interest in Freescale to Motorola shareholders on December 2, 2004.

A conference call regarding these historical unaudited pro forma consolidated financial statements will be held at 4:00 p.m. Central Time U.S.A. on December 8, 2004. It will be available through Motorola's investor relations web site at http://www.motorola.com/investor .

Quarterly financial results for 2003 and the first three quarters of 2004 presenting Freescale Semiconductor on a discontinued operations basis will be placed on Motorola's investor relations web site, http://www.motorola.com/investor , on December 8, 2004 after the Form 8-K has been filed. These quarterly results will be provided in the format that Motorola expects to use to report fourth quarter 2004 results in January 2005.
